End-User License Agreement — TechArmor Client Portal

Licensor: TechArmor Solutions LLC, Gainesville, Georgia (“TechArmor,” “we,” “us”)

This End-User License Agreement (“Agreement”) governs your use of the TechArmor Client Portal (the “App”), including its connection to Intuit QuickBooks Online. By accessing or using the App, or by authorizing it to connect to a QuickBooks Online company, you agree to this Agreement. If you do not agree, do not use the App.

1. Who may use the App

The App is a private, internal business tool. It is operated by TechArmor Solutions LLC. Only TechArmor staff, authorized contractors, and clients that TechArmor has invited may use it. It is not offered to the general public. It is not listed for sale or for public installation.

2. License grant

TechArmor grants you a limited, non-exclusive, non-transferable, revocable license. You may use the App only for business purposes TechArmor authorizes, such as viewing projects, approving work, and viewing or paying invoices. You may use it only while your access remains active.

3. Restrictions

You may not:

  • copy, modify, or distribute the App;
  • reverse engineer or decompile it;
  • share your login credentials;
  • try to access data that belongs to another user or client;
  • use the App to break any law or any Intuit terms of service;
  • interfere with the App's security or operation.

4. QuickBooks Online connection

The App uses Intuit's OAuth 2.0 authorization to connect to a QuickBooks Online company. The authorizing user grants the App permission to read and write accounting data within the scopes they approve. That data can include customers, invoices, items, and payments. The connection can be revoked at any time from inside the App or from the Intuit account's Apps settings. QuickBooks and Intuit are trademarks of Intuit Inc. TechArmor is not affiliated with Intuit, and Intuit does not endorse the App.

5. Ownership

TechArmor owns the App and all intellectual property in it. You keep ownership of your own data. Section 6 and our Privacy Policy explain how we handle that data.

Our Privacy Policy explains what we collect and how we use it. It is part of this Agreement.

7. Disclaimer of warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT THE LAW ALLOWS, TECHARMOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE. We are not responsible for the accuracy of data in QuickBooks Online or for Intuit's services.

8. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, TECHARMOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THIS INCLUDES LOST PROFITS OR LOST DATA. TECHARMOR'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TECHARMOR FOR USE OF THE APP IN THE 12 MONTHS BEFORE THE CLAIM.

9. Termination

TechArmor may suspend or end your access at any time. When access ends, your license ends, and any QuickBooks Online connection you authorized will be disconnected. Sections 5, 7, 8, and 10 survive termination.

10. Governing law

This Agreement is governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Hall County, Georgia.

11. Changes

We may update this Agreement from time to time. We will post the new version on this page and change the effective date. If you keep using the App after a change, you accept the updated Agreement.
